Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using ZShip (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must discontinue use of the Service immediately.

2. Eligibility

You must be at least 13 years of age (or the minimum age required in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet these age requirements. If you are under 18, you must have the consent of a parent or legal guardian.

3. Description of Service

ZShip provides an AI-powered SaaS platform for generating and managing digital content. The Service includes, but is not limited to:

• AI-assisted image and video generation tools.
• User dashboard for managing projects, credits, and account settings.
• API access for programmatic content generation (where applicable).
• Supporting documentation, tutorials, and resources.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

4. User Accounts

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain and promptly update your account information.
• Keep your login credentials confidential and not share them with any third party.
• Notify us immediately at [email protected] of any unauthorized use of your account.
• Accept full responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that contain inaccurate information or that have been inactive for an extended period.

5. Credits and Payments

The Service operates on a credit-based system. Credits are the unit of value used to access AI generation features.

5.1 Credit Policies

• Free credits may be provided upon registration and are subject to expiration as stated at the time of issuance.
• Free credits and promotional credits cannot be exchanged for cash or transferred to other accounts.
• Purchased credits are governed by our Refund Policy.

5.2 Subscriptions

• Subscription plans are billed on a recurring basis (monthly or annually) as selected at the time of purchase.
• Subscriptions automatically renew unless cancelled before the end of the current billing period.
• You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing period.

5.3 Pricing Changes

We reserve the right to modify pricing at any time. For existing subscribers, pricing changes will take effect at the start of the next billing cycle following at least 30 days' advance notice.

6. Acceptable Use

You agree to use the Service only for lawful purposes. You shall not:

• Generate content that violates any applicable local, national, or international laws or regulations.
• Create content that promotes violence, terrorism, hate speech, harassment, or discrimination.
• Produce content that infringes on the intellectual property, privacy, or other rights of third parties.
• Attempt to reverse-engineer, decompile, or extract source code from the Service.
• Use automated tools (bots, scrapers) to access the Service without our written consent.
• Engage in any activity that disrupts, degrades, or interferes with the Service or its infrastructure.
• Circumvent or attempt to bypass security measures, rate limits, or content safety filters.

7. Intellectual Property

7.1 Your Content

You retain ownership of the prompts you submit and the content generated through the Service, subject to the terms and restrictions of the underlying AI model providers. You grant us a non-exclusive, worldwide, royalty-free license to use your content solely for the purpose of providing, improving, and maintaining the Service.

7.2 Our Property

The Service, including its code, design, interface, branding, trademarks, documentation, and all associated intellectual property, is and remains the sole property of ZShip and its licensors. Nothing in these Terms grants you any right to use our trademarks, logos, or brand assets without prior written consent.

8. Third-Party Services

The Service may integrate with or rely upon third-party services, including but not limited to AI model providers, payment processors (e.g., Stripe), analytics tools, and cloud infrastructure providers. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the actions, content, or practices of such third parties.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free.
• AI-generated content will be accurate, complete, or suitable for any particular purpose.
• Any defects in the Service will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ZShip, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM:

• Your use of or inability to use the Service.
• Unauthorized access to or alteration of your data or transmissions.
• Statements or conduct of any third party on the Service.
• Any AI-generated content produced through the Service.

Our total aggregate liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless ZShip and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the Service ceases immediately.
• Any unused credits (excluding purchased credits subject to our Refund Policy) will be forfeited.
• Provisions that by their nature should survive termination will remain in effect, including Sections 7, 9, 10, 11, and 13.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration body in the jurisdiction where the Service operator is located.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

15. Entire Agreement

These Terms, together with our Privacy Policy, Content Policy, and Refund Policy, constitute the entire agreement between you and ZShip regarding the use of the Service. Any prior agreements, representations, or understandings are superseded by these Terms.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through a prominent notice on the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
